FormationData Systems Ltd ("IntroAgents", "we", "us") operates an introducer and lead-qualification platform connecting businesses and individuals with independent third-party service providers.
2. Who These Terms Apply To
These Terms apply to:
- Visitors to IntroAgents - Connect Agents & Providers | The Future of Lead Generation
- Agents / Affiliates using the Platform
- Service Providers receiving introductions
- Any users accessing Platform features
Additional terms may apply depending on your role, including:
- Agent Terms & Conditions
- Agent Data Processing Addendum (DPA)
- Provider agreements
Where additional terms apply, they form part of these Terms.
3. Nature of the Service
IntroAgents:
- Acts as an introducer only
- Does not provide professional, regulated, or advisory services
- Does not guarantee outcomes, conversions, or service availability
All services are provided by independent third-party providers.
Any service agreement is strictly between the lead and the provider.
4. Accounts & Access
We may require users to:
- Create an account
- Provide accurate and complete information
- Keep login details secure
We reserve the right to:
- Approve or refuse access
- Suspend or terminate accounts
- Restrict features or functionality
5. Agents
Agents:
- Act as independent introducers and marketers
- Must comply with all applicable laws and platform policies
- Must not misrepresent IntroAgents or service providers
Agents are subject to:
- Agent Terms & Conditions
- Agent DPA
- Any applicable pricing or subscription plans
6. Service Providers
Service Providers:
- Receive introductions via the Platform
- Are responsible for compliance, advice, pricing, and service delivery
- Must handle personal data in accordance with applicable law
IntroAgents does not guarantee:
- Lead quality
- Conversion rates
- Exclusivity unless agreed in writing
7. Fees, Commissions & Subscriptions
7.1 Introducer Fees
IntroAgents may receive:
- Referral or introducer fees from service providers
Agents may receive:
- Commission as set out in the Agent Terms
7.2 Subscriptions (Future-Ready Clause)
IntroAgents reserves the right to:
- Introduce paid subscriptions for Agents, Providers, or both
- Change pricing, features, or access levels
- Offer tiered plans or usage-based pricing
Any subscription:
- Will be clearly disclosed prior to charging
- Will be governed by these Terms and any additional subscription terms
- Failure to pay subscription fees may result in restricted or suspended access.
8. Acceptable Use
Users must not:
- Engage in unlawful, deceptive, or misleading conduct
- Submit false or unauthorised data
- Attempt to circumvent Platform systems
- Engage in spam or non-compliant marketing
- Interfere with Platform security or operations
9. Data Protection & Privacy
Use of the Platform is subject to:
- Privacy Policy
- Cookie Policy
- Agent DPA (where applicable)
IntroAgents acts as Data Controller unless otherwise stated.
10. Intellectual Property
All Platform content, software, branding, and materials are owned by FormationData Systems Ltd or its licensors.
No rights are granted except as expressly stated.
11. Suspension & Termination
IntroAgents may suspend or terminate access:
- Immediately
- With or without notice
- With or without cause
Including for:
- Legal or compliance concerns
- Suspected fraud
- Breach of these Terms
12. Limitation of Liability
To the maximum extent permitted by law, IntroAgents shall not be liable for:
- Loss of profits or business
- Indirect or consequential losses
- Acts or omissions of service providers or agents
Nothing limits liability for fraud or death or personal injury caused by negligence.
13. Indemnity
Agents and Providers agree to indemnify IntroAgents against:
- Claims arising from their conduct
- Regulatory breaches
- Data protection violations
- Misrepresentation
14. Changes to the Platform or Terms
We may:
- Modify or discontinue features
- Update these Terms
Continued use constitutes acceptance.
15. Governing Law
These Terms are governed by the laws of England and Wales.
