These Provider Terms of Service ("Provider Terms") govern participation in the IntroAgents platform as a service provider.
By accepting leads, receiving introductions, or otherwise participating in the IntroAgents platform, you agree to be bound by these Provider Terms, the IntroAgents Terms of Service, and any agreed commercial schedules.
1. Parties
These Provider Terms are between:

The business or individual registered as a Service Provider ("Provider", "you", "your").
2. Nature of the Relationship
FormationData Systems Ltd acts as an introducer only.
- IntroAgents does not provide services to end clients
- Providers deliver all services independently
- No partnership, joint venture, or employment relationship is created
- Any contract for services is strictly between the Provider and the end client.
3. Go-Live Approval & Commercial Terms
Before any leads are supplied, the following must be agreed in writing:
- Payment structure (fixed fee or percentage-based commission)
- What constitutes a conversion
- Payment timing and method
- Any exclusions or special conditions
No leads will be sent until commercial terms are confirmed.
4. Definition of a Conversion
The definition of a "conversion" will be agreed per Provider prior to go-live and may include (but is not limited to):
- Client engagement or onboarding
- Signed agreement
- First payment received
- Completion of defined milestones
IntroAgents' tracking and records shall be used to determine conversions unless otherwise agreed.
5. Fees & Commission Structures
5.1 Fixed Fee Commission
Where a fixed fee is agreed:
- The Provider pays a one-off fee per qualifying conversion
- IntroAgents has no entitlement to additional revenue generated from the client unless explicitly agreed in writing
5.2 Percentage-Based Commission
Where commission is agreed as a percentage:
The commission applies to all revenue generated from the introduced client
This includes:
- Initial services
- Ongoing services
- Upsells, cross-sells, renewals, and expansions
Commission applies for the duration agreed prior to go-live
Providers must not structure services to avoid commission.
6. Data Usage & Restrictions
Providers agree that:
- Lead data is supplied solely for responding to the specific enquiry
- Lead data must not be sold, shared, or reused outside the agreed scope
- Data must be processed in compliance with applicable data protection law
- Any resale, misuse, or unauthorised exploitation of data constitutes a material breach.
7. Reporting & Transparency
Where percentage-based commission applies, Providers agree to:
- Provide accurate reporting of revenue generated from introduced clients
- Allow reasonable verification of conversion status and fees
IntroAgents reserves the right to audit records relating to introduced clients.
8. Invoicing & Payment
- Payment terms will be confirmed per Provider prior to go-live
- Invoices may be issued by IntroAgents or self-billed, as agreed
- Payments must be made within the agreed timeframe
- Late payments may result in suspended lead delivery
9. Non-Circumvention
Providers must not:
- Attempt to bypass IntroAgents
- Reclassify or rename services to avoid commission
- Enter into side arrangements designed to reduce payable fees
This clause survives termination.
10. Compliance & Conduct
Providers must:
- Act lawfully and professionally
- Comply with all regulatory and professional obligations
- Avoid misleading claims or sales practices
IntroAgents reserves the right to suspend or terminate Providers for reputational or compliance risk.
11. Suspension & Termination
IntroAgents may:
- Suspend lead delivery
- Terminate Provider participation
With immediate effect where:
- Payment terms are breached
- Misconduct is identified
- Legal or reputational risk arises
12. Limitation of Liability
To the maximum extent permitted by law, IntroAgents shall not be liable for:
- Loss of profits or opportunity
- Indirect or consequential losses
Nothing limits liability for fraud or death or personal injury caused by negligence.
13. Indemnity
The Provider agrees to indemnify IntroAgents against:
- Claims arising from service delivery
- Regulatory breaches
- Data protection violations
- Client disputes
14. Changes to These Terms
IntroAgents may update these Provider Terms from time to time.
Continued participation constitutes acceptance.
15. Governing Law
These Provider Terms are governed by the laws of England and Wales.
