These Subscription Terms apply to all paid subscriptions and add-on services offered by FormationData Systems Ltd ("IntroAgents", "we", "us").
They form part of, and must be read together with, the Terms of Service, Agent Terms, and Provider Terms (as applicable).
1. Business Use Only (B2B)
Subscriptions to the IntroAgents platform are strictly for business use only.
By subscribing, you confirm that:
- You are acting in the course of business
- You are not acting as a consumer
- Consumer protection legislation (including the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013) does not apply
2. Subscription Services
Subscriptions may include access to:
- The IntroAgents platform
- White-label websites
- Lead tracking and attribution
- Admin, hosting, and platform maintenance
- Other features made available from time to time
Features may vary by plan and may be updated, modified, or withdrawn at our discretion.
3. Billing & Payment
- Subscriptions are billed monthly in advance
- Payment is taken automatically using the payment method on file
- Prices are displayed exclusive of VAT unless stated otherwise
- VAT will be added where applicable
- Failure to pay may result in suspension or termination of access.
4. No Long-Term Contract
- Subscriptions operate on a rolling basis
- There is no minimum term
- You may cancel at any time via your account or by contacting support
- Cancellation will take effect at the end of the current billing period.
5. No Refunds / Partial Periods
Except where required by law (which is limited in B2B contracts):
- Subscription fees are non-refundable
- No refunds are provided for partial months
- Unused time is forfeited upon cancellation
- Access remains available until the end of the paid billing period.
6. Chargebacks & Payment Disputes
You agree that:
- Initiating a chargeback instead of contacting us constitutes a breach of these Terms
- We may suspend or terminate access during any payment dispute
- We may recover reasonable costs incurred as a result of chargebacks
- Chargebacks do not cancel subscription obligations.
7. Pricing Changes
We reserve the right to:
- Increase or decrease subscription fees
- Introduce new pricing tiers
- Change what is included in plans
Any price change will:
- Be notified in advance
- Apply prospectively only
- Allow you to cancel before the change takes effect
8. Add-Ons & Bolt-On Services
We may offer optional paid add-ons, including (but not limited to):
- Live chat functionality
- Telephone numbers or call tracking
- Enhanced features or integrations
Add-ons:
- Are billed separately
- May be added or removed at any time
- Are subject to these Subscription Terms
9. Platform Availability
We aim to provide reliable access but:
- Do not guarantee uninterrupted availability
- May perform maintenance or updates
- Are not liable for downtime, delays, or interruptions
10. Suspension & Termination
We may suspend or terminate access where:
- Fees are unpaid
- Misuse, fraud, or non-compliance is suspected
- Legal or reputational risk arises
Termination does not affect outstanding payment obligations.
11. Changes to These Terms
We may update these Subscription Terms from time to time.
Continued use of the platform constitutes acceptance of the updated terms.
12. Governing Law
These Subscription Terms are governed by the laws of England and Wales.
