Agent Terms & Conditions

These Agent Terms & Conditions ("Agent Terms") govern participation in the IntroAgents affiliate and introducer programme.

By registering as an agent, submitting leads, or accessing the IntroAgents platform, you agree to be bound by these Agent Terms.

1. Parties

These Agent Terms are between:

The individual or entity registering as an Agent ("Agent", "you", "your").

2. Agent Role

Agents act as independent marketing introducers only.

Agents:

  • Are not employees, partners, or representatives of FormationData Systems Ltd
  • Have no authority to bind IntroAgents or any service provider
  • Must not present themselves as service providers unless authorised separately

Nothing in these Terms creates a partnership, joint venture, or employment relationship.

3. Eligibility & Approval

IntroAgents reserves the right to:

  • Approve or reject any agent application
  • Refuse access without providing a reason
  • Suspend or terminate an agent account at its discretion

Approval is not guaranteed and may be withdrawn at any time.

4. Lead Submission & Consent

4.1 Lead Authority

Agents must only submit leads where:

  • The individual or business has given explicit permission to be contacted
  • The Agent has lawful authority to submit the lead

Where leads are submitted manually via the platform, Agents must confirm (by ticking a mandatory declaration) that they have obtained appropriate consent.

4.2 ICO Registration

Where an Agent holds an ICO registration number, IntroAgents may (at its discretion) allow manual lead submission via the platform.

IntroAgents reserves the right to:

  • Verify ICO registration details
  • Withdraw manual submission access at any time

5. Data Protection & GDPR

Agents agree to:

  • Comply with UK GDPR and Data Protection Act 2018
  • Use personal data solely for IntroAgents-related activities
  • Not retain, reuse, sell, or repurpose lead data outside the platform

IntroAgents remains the primary Data Controller unless otherwise agreed in writing.

Agents may be required to enter into a Data Processing Addendum (DPA).

6. Verification, ID & Compliance Checks

IntroAgents may require Agents to provide:

  • Proof of identity
  • Proof of address
  • Business documentation
  • ICO registration evidence

IntroAgents also reserves the right to conduct:

  • Ongoing compliance checks
  • Anti-Money Laundering (AML) checks
  • Enhanced due diligence

Failure to provide requested documentation may result in suspension or termination.

7. Marketing Standards & Prohibited Practices

Agents must use ethical, lawful, and compliant marketing methods.

The following are strictly prohibited:

  • Spam or unsolicited communications
  • Cold outreach without lawful consent
  • Misrepresentation or passing off
  • False or misleading claims
  • Brand bidding on PPC campaigns without written permission
  • Using IntroAgents or partner brand names in paid ads without authorisation
  • Cookie stuffing or deceptive tracking
  • Circumventing the IntroAgents introduction process

IntroAgents' decision on compliance is final.

8. Fraud & Payment Withholding

IntroAgents reserves the right to:

  • Investigate suspected fraud or non-compliance
  • Withhold payments during investigations
  • Cancel commissions relating to fraudulent or non-compliant leads

Where fraud or serious breaches are identified, IntroAgents may:

  • Terminate the Agent account
  • Withhold unpaid balances
  • Recover previously paid commissions

9. Commission & Payment Terms

  • Commission is payable only on successful, verified conversions
  • Commission rates are determined by IntroAgents and may vary by service
  • Payments are made by bank transfer only
  • Minimum payout threshold is £50
  • Balances below £50 will roll over until the threshold is met.

10. Payment Timing

Payments are typically processed:

  • Monthly, subject to verification
  • After receipt of funds from service providers

IntroAgents is not responsible for delays caused by third parties.

11. Tax Responsibility

Agents are solely responsible for:

  • Declaring income
  • Paying any applicable taxes, VAT, or duties

IntroAgents does not provide tax advice.

12. Suspension & Termination

IntroAgents may suspend or terminate an Agent account:

  • Immediately and without notice
  • With or without cause
  • For compliance, legal, or reputational reasons

Termination does not affect accrued rights to investigate fraud or misconduct.

13. Limitation of Liability

To the maximum extent permitted by law, IntroAgents shall not be liable for:

  • Loss of income or opportunity
  • Indirect or consequential losses
  • Termination of agent status

14. Confidentiality

Agents must not disclose:

  • Commission structures
  • Platform data
  • Commercial arrangements

This obligation survives termination.

15. Changes to These Terms

IntroAgents may update these Agent Terms at any time. Continued participation constitutes acceptance.

16. Governing Law

These Agent Terms are governed by the laws of England and Wales.
